TikTok Creator Terms

1. Introduction

These Terms and Conditions (hereinafter referred to as "Terms") govern the relationship between Joseph Sandell (hereinafter referred to as "Company," "we," "us," or "our") and any individual or entity (hereinafter referred to as "Creator," "you," or "your") creating TikTok content on behalf of the Company. By agreeing to create TikTok content for the Company, you agree to be bound by these Terms.

2. Eligibility

By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are creating content on behalf of a company or organization, you represent and warrant that you have the authority to bind that company or organization to these Terms.

3. Content Creation

3.1 Scope of Work

You agree to create TikTok content (hereinafter referred to as "Content") as specified by the Company. The specifics of each content creation assignment, including the number of videos, themes, and deadlines, will be communicated to you separately.

3.2 Quality and Compliance

The Content must be of high quality, comply with TikTok's community guidelines, and adhere to any additional guidelines provided by the Company. The Content must not contain any offensive, inappropriate, or illegal material.

3.3 Ownership and Rights

By creating Content for the Company, you acknowledge and agree that the Company retains full ownership of the Content. You hereby assign any and all rights, title, and interest in the Content to the Company, including any intellectual property rights.

4. Compensation

4.1 Payment Terms

The compensation for your Content creation services will be agreed upon in advance and communicated to you in writing. Payments will be made according to the schedule specified by the Company. On sign up, you will be given a promotional code to use within your videos. Once this code has been used 10 times by valid customers, you will begin to receive a 5% commission on all sales from customers using your code.

4.2 Expenses

Unless otherwise agreed upon in writing, you will be responsible for any expenses incurred in the process of creating the Content.

5. Confidentiality

You agree to keep all information related to the Company, its products, services, and business operations confidential. This includes any non-public information you may become privy to during the course of creating Content.

6. Representations and Warranties

You represent and warrant that:

  • The Content will be your original work.

  • The Content will not infringe upon the rights of any third party, including intellectual property rights.

  • You have the right to grant the rights and licenses set forth in these Terms.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your breach of these Terms, the Content, or your conduct in creating the Content.

8. Termination

8.1 Termination by the Company

The Company reserves the right to terminate your engagement at any time, with or without cause, by providing you with written notice.

8.2 Termination by You

You may terminate your engagement with the Company by providing written or emailed notice. However, you must complete any Content creation assignments that you have already agreed to undertake.

8.3 Effects of Termination

Upon termination, you must immediately cease using any confidential information and return or destroy any such information in your possession.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts.

10. Miscellaneous

10.1 Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding the subject matter herein and supersede all prior agreements and understandings.

10.2 Amendments

The Company reserves the right to amend these Terms at any time. Any amendments will be effective upon posting the revised Terms on the Company’s website or providing you with written notice.

10.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

10.4 No Waiver

The failure of either party to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

By agreeing to create Content for the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms.
